Introduction and Acceptance of Terms
Welcome to Careerscape ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website at cs-recruiters.com (the "Site") and all related staffing, recruiting, and employment placement services (collectively, the "Services").
By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site or Services.
We reserve the right to modify these Terms at any time. Material changes will be communicated through email or website notice. Your continued use of the Site or Services after any changes constitutes your acceptance of the revised Terms.

Definitions
"Job Seeker" or "Candidate"
Means any individual who uses the Site or Services to search for employment opportunities, apply for job openings, submit resumes, or engage with our recruiting services.
"Employer" or "Client"
Means any business, organization, or individual that engages Careerscape to provide staffing, recruiting, or talent acquisition services.
"User"
Means any person who accesses or uses the Site, including Job Seekers and representatives of Employers.
"User Content"
Means any information, materials, or content that Users submit through the Site or Services, including but not limited to resumes, application materials, talent requests, and communications.

Description of Services
Careerscape is a staffing and recruiting agency that connects Job Seekers with employment opportunities and provides Employers with talent acquisition solutions. Our Services include direct hire placement, contract staffing, temporary staffing, executive search, shift-based staffing, project-based staffing, international staffing, recruitment process outsourcing (RPO), and advisory services.
For Job Seekers
You may browse job openings posted on our Site, apply for positions, upload your resume to our database, and connect with our recruiters for personalized career placement assistance. All job listings on the Site are posted by Careerscape on behalf of our employer clients.
For Employers
You may submit talent requests through our Site or contact us directly. Careerscape will source, screen, and present qualified candidates for your consideration. All job postings, candidate sourcing, and recruitment activities are conducted by Careerscape — Employers do not post jobs directly on our Site.

Eligibility
To use the Site and Services, you must be at least 18 years old. Job Seekers must be legally authorized to work in the jurisdiction where they seek employment.
Representatives of Employers represent and warrant that they have the authority to bind their organization to these Terms.

User Accounts and Responsibilities
5.1 Account Registration
You agree to provide accurate, current, and complete information during any registration or submission process, and to update such information to keep it accurate, current, and complete.
5.2 Account Security
You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify Careerscape immediately of any unauthorized use of your account.

Terms for Job Seekers
6.1 Resume Submission
By submitting your resume or application materials through the Site or directly to Careerscape, you grant Careerscape permission to store, process, and share your information with prospective employers in connection with employment opportunities.
6.2 No Guarantee of Employment
Careerscape does not guarantee employment as a result of using our Services. We serve as a facilitator between Job Seekers and Employers and make no representations regarding the outcome of any application or placement process.

Terms for Employers
7.1 Talent Requests
By submitting a talent request through the Site or directly to Careerscape, you authorize Careerscape to source, screen, and present candidates based on the requirements you provide.
7.2 Fees and Payment
Fees for staffing and recruiting services are governed by separate service agreements between Careerscape and the Employer. No fees are incurred solely through the use of the Site.

User Content
8.1 License Grant
By submitting User Content through the Site or Services, you grant Careerscape a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and distribute your content solely in connection with providing the Services.
8.2 Content Removal
We reserve the right to remove any User Content that violates these Terms, applicable law, or that we determine in our sole discretion is inappropriate, misleading, or harmful to the integrity of our Services.

Intellectual Property
The Site and all of its content — including but not limited to text, graphics, logos, icons, images, software, and design elements — are the property of Careerscape LLC and are protected by United States and international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, display, or create derivative works from any content on the Site without the prior written consent of Careerscape.

Third-Party Links
The Site may contain links to third-party websites or services that are not owned or controlled by Careerscape. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Disclaimers
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CAREERSCAPE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CAREERSCAPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES.

Indemnification
You agree to indemnify, defend, and hold harmless Careerscape LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.

Termination
We may suspend or terminate your access to the Site and Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site and Services ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

Dispute Resolution
15.1 Informal Resolution
Before initiating any formal proceeding, you agree to contact us at info@cs-recruiters.com and attempt to resolve any dispute informally for at least thirty (30) days.
15.2 Binding Arbitration
Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered in New York, NY, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in New York County, New York.

General Provisions
These Terms constitute the entire agreement between you and Careerscape regarding the use of the Site and Services. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Careerscape's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
